Welcome to GodSpark. These Terms of Use (“Terms”) govern your access to and use of the GodSpark website, platform, and related services (collectively, the “Platform” and “Services”), operated by GodSpark, Inc. (“GodSpark,” “we,” “us,” or “our”).
By accessing or using the Platform or Services, you agree to be bound by these Terms and all incorporated policies. If you do not agree, you may not access or use the Services.
IMPORTANT NOTICE REGARDING ARBITRATION
BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE MOST DISPUTES WITH GODSPARK THROUGH BINDING ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, AS DESCRIBED IN SECTION 19 BELOW.

1. What Is GodSpark Fund?
GodSpark Fund is an online crowdfunding platform that enables individuals, organizations, and communities (“Fundrasiers”) to raise funds through public campaigns (“Campaigns”) and allows supporters (“Funders”) to contribute funds (“Funds”) to support those initiatives. Creators may offer rewards (“Rewards”) to Backers in appreciation for their contributions.
2. User Obligations
You agree to use the Services only in compliance with these Terms, all applicable laws, and GodSpark policies.
a. Account Responsibility
You are responsible for all activity that occurs under your account. You must provide accurate, current, and complete information and keep your account information updated. You are responsible for safeguarding your login credentials.
b. Account Termination
You may request account termination by contacting GodSpark support. Certain information may be retained as required by law or for legitimate business purposes. These Terms survive termination.
c. Age Requirements
You must be at least 18 years old to create an account. Minors may only use the Services through a parent or legal guardian’s account with consent and supervision, subject to applicable law.
d. Compliance With Laws and Policies
You may not violate any law, infringe third-party rights, or offer Rewards that are illegal, deceptive, or prohibited by GodSpark policies.
e. Truthfulness
You agree not to submit false, misleading, or fraudulent information.
f. Respect for Others
Harassment, abuse, defamation, obscenity, or invasion of privacy is prohibited.
g. No Spam
You may not send unsolicited or unauthorized promotional or commercial communications.
h. Platform Integrity
You may not introduce malware, interfere with the Platform, or attempt unauthorized access to systems or data.
i. Security
You may not scrape, reverse engineer, bypass safeguards, or disrupt Platform operations.
j. Fees
Account registration is free. Fundraisers are charged transaction fees as disclosed on the Platform. Backers are charged platform fees as disclosed on the Platform. Both parties are solely responsible for applicable taxes and fees.
GodSpark may suspend or terminate access for violations at its sole discretion.
3. Creator Obligations
By creating a Campaign, you agree to:
a. Make good-faith efforts to fulfill Rewards within stated timelines
b. Communicate promptly and truthfully with Funders and GodSpark
c. Provide regular and meaningful updates
d. Issue refunds if Rewards cannot be delivered
e. Comply with all applicable laws and regulations
f. Substantiate Campaign claims upon request
g. Protect Funder personal data and use it solely for fulfillment
h. Comply with applicable data protection laws (including GDPR and CCPA, where applicable)
i. Fulfill all tax obligations related to Campaign funds
j. Provide requested documentation during reviews or investigations
GodSpark may withhold, delay, or refund funds if it reasonably believes a violation has occurred.
Fundrasiers are solely responsible for Campaign fulfillment and enter into a direct legal relationship with Funders regarding Rewards.
4. Funding a Campaign
a. Voluntary Contributions
All Pledges are voluntary and made at the Funder’s own risk.
b. No Guarantee
GodSpark does not guarantee Campaign success, Reward delivery, timelines, or satisfaction.
c. Refunds and Cancellations
Refunds are governed solely by the Fundraiser’s policies. GodSpark does not guarantee refunds and is not responsible for disputes between Funders and Fundraiser’s.
d. Payment Collection
Payments are processed by third-party providers and charged in accordance with Campaign settings and payment provider terms.
e. Communications
Funders may be required to provide information necessary to fulfill Rewards.
f. Taxes
Funders are responsible for any applicable taxes.
5. GodSpark’s Role
a. GodSpark does not endorse Campaigns or User Content
b. GodSpark may remove content or cancel Campaigns at its discretion
c. GodSpark may require verification before disbursing funds
d. GodSpark does not guarantee Rewards or refunds
e. GodSpark does not provide legal or tax advice
f. GodSpark does not adjudicate disputes between Users
g. Creators remain fully responsible for their Campaigns
6. Our Intellectual Property
The Platform, Services, trademarks, content, and technology are owned by or licensed to GodSpark and protected by intellectual property laws. You are granted a limited, revocable, non-transferable license to use the Services solely as permitted by these Terms.
7. Your Intellectual Property
You retain ownership of your User Content. By submitting content, you grant GodSpark a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, modify, display, distribute, and exploit such content in connection with the Services.
You represent that you have all rights necessary to grant this license.
8. Reporting Copyright and IP Issues
GodSpark complies with the Digital Millennium Copyright Act (DMCA) and maintains procedures for reporting intellectual property infringement pursuant to its Intellectual Property Policy.
9. User Accounts; Suspension and Termination
GodSpark may suspend or terminate accounts or Campaigns at any time, with or without notice, in its sole discretion. Upon termination, you must cease use of the Services.
10. Payment Processing Services
Payments are processed by third-party providers. By using the Services, you agree to their applicable terms. GodSpark is not responsible for third-party payment services.
11. System Outages and Maintenance
The Services may be unavailable due to maintenance, outages, or technical issues. GodSpark is not liable for data loss or interruptions.
12. Unsolicited Idea Submissions
Any ideas or suggestions submitted to GodSpark are non-confidential and may be used without compensation or obligation.
13. Indemnification
You agree to indemnify and hold harmless GodSpark and its affiliates from claims arising out of your use of the Services, User Content, or violation of these Terms.
14. No Warranty
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
15. Disclaimer of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GODSPARK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID TO GODSPARK OR (B) $100.
16. Export Compliance
You agree to comply with all applicable export control and sanctions laws.
17. Waiver and Release (Texas Residents)
To the fullest extent permitted by Texas law, Texas residents waive and release unknown claims arising out of or related to the Services, except where such waiver is prohibited by law.
18. Governing Law and Venue for Non-Arbitrable Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute not subject to arbitration shall be brought exclusively in the state courts of Dallas County, Texas, or the United States District Court for the Northern District of Texas (Dallas Division).
19. Arbitration, Dispute Resolution, and Class Action Waiver
Most disputes shall be resolved by binding arbitration under the Federal Arbitration Act.
Pre-Arbitration Notice
Before initiating arbitration, you must send written notice to he***@******rk.com describing the dispute and requested relief. If unresolved within 45 days, arbitration may proceed.
Arbitration Location
Arbitration shall occur in Dallas, Texas, unless conducted remotely or otherwise agreed.
Class Action Waiver
All claims must be brought individually. No class, collective, or representative actions are permitted.
Opt-Out
You may opt out of arbitration within 30 days of account creation by emailing he***@******rk.com with the subject line:
“ARBITRATION AND CLASS ACTION WAIVER OPT-OUT.”
20. Definitions
Key terms such as User, Fundrasier, Funder, Campaign, Fund, Rewards, Content, Platform, and Services have the meanings assigned to them throughout these Terms.
21. Entire Agreement
These Terms constitute the entire agreement between you and GodSpark and supersede all prior agreements or communications.
22. Miscellaneous
GodSpark may modify or discontinue Services at any time. Claims must be brought within one (1) year unless prohibited by law. There are no third-party beneficiaries to these Terms.
